STAGEXERO TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Upturn Consultancy LLC, a limited liability company registered in Sharjah, United Arab Emirates ("StageXero", "we", "us", or "our"), governing your access to and use of the StageXero platform located at https://www.stagexero.com (the "Platform") and all related services (collectively, the "Services").
BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR ACCESSING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
In these Terms, the following terms shall have the meanings set forth below:
"Account" means the user account created by you to access the Services.
"Content" means all information, data, text, images, videos, reviews, comments, and other materials submitted, posted, or displayed through the Services.
"Deals" means the discount offers, promotional codes, credits, affiliate offers, and special perks made available to Users through the Platform.
"Free Plan" means the membership tier providing access to basic Deals at no cost.
"Insider Plan" means the premium membership tier priced at USD 360 per year, providing access to Insider, Premium, and Free Deals.
"Partner" means third-party service providers, vendors, and companies whose Deals are listed on the Platform.
"Premium Plan" means the paid membership tier priced at USD 29 per month or USD 149 per year, providing access to Premium and Free Deals.
"Service Fee" means any fee charged by StageXero to facilitate Deal confirmation or access.
"User Content" means Content that you submit, post, upload, or otherwise make available through the Services.
1.2 Interpretation
- Headings are for convenience only and do not affect interpretation.
- References to "including" or "includes" mean "including without limitation."
- References to statutory provisions include amendments and re-enactments.
- Words in the singular include the plural and vice versa.
2. ACCEPTANCE OF TERMS
2.1
By accessing or using the Services, you represent and warrant that:
(a) You have read and understood these Terms;
(b) You agree to be bound by these Terms and our Privacy Policy and Cookie Policy;
(c) You have the legal capacity to enter into a binding contract;
(d) All information you provide is accurate, current, and complete.
2.2
These Terms supersede all prior agreements, understandings, and representations between you and StageXero relating to the Services.
2.3
If you are accessing the Services on behalf of a company, entity, or organization, you represent and warrant that you have the authority to bind such entity to these Terms.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Age Requirement
You must be at least 16 years of age to create an Account and use the Services. By creating an Account, you represent and warrant that you meet this age requirement.
3.2 Account Registration
(a) To access certain features of the Services, you must create an Account by providing accurate and complete registration information, including your name, email address, and other requested details.
(b) You agree to provide truthful, accurate, current, and complete information during registration and to update such information to maintain its accuracy.
(c) You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
(d) You agree to immediately notify StageXero at support@stagexero.com of any unauthorized use of your Account or any other security breach.
3.3 Account Ownership
(a) Each User may create one or more Accounts, provided each Account is used in compliance with these Terms.
(b) Accounts are personal to you and may not be transferred, sold, or assigned to any third party without our prior written consent.
(c) You may not allow any other person to use your Account or share your login credentials.
3.4 Eligibility Restrictions
(a) The Services are available to individuals, startups, companies, and entities globally.
(b) You represent that your use of the Services complies with all applicable laws and regulations in your jurisdiction.
4. MEMBERSHIP PLANS AND PRICING
4.1 Membership Tiers
StageXero offers the following membership tiers:
(a) Free Plan: Provides access to Deals designated as "Free" on the Platform at no cost.
(b) Premium Plan: Priced at USD 29 per month or USD 149 per year. Provides access to Deals designated as "Premium" and "Free."
(c) Insider Plan: Priced at USD 360 per year. Provides access to Deals designated as "Insider," "Premium," and "Free."
4.2 Pricing
(a) All prices are displayed in United States Dollars (USD) and exclude applicable taxes unless otherwise stated.
(b) Applicable taxes, including VAT where required, will be calculated and displayed at checkout.
(c) Currency conversion fees and foreign exchange rates are the responsibility of your payment provider.
4.3 Deal Access Rights
(a) Your membership tier determines which Deals you may access and redeem.
(b) StageXero reserves the right to change, modify, add, or remove Deals at any time without prior notice.
(c) Deal availability is subject to Partner terms, stock limitations, and eligibility requirements.
4.4 Service Fees
(a) Certain Deals may require payment of a Service Fee to confirm access or redemption.
(b) Service Fees, where applicable, will be clearly displayed before you complete the transaction.
(c) Service Fees are separate from and in addition to membership fees.
4.5 Price Changes
(a) StageXero reserves the right to modify membership pricing at any time.
(b) Price changes will not affect your current billing cycle but will apply to subsequent renewals.
(c) We will provide reasonable notice of material price changes through email or Platform notification.
5. PAYMENT TERMS
5.1 Payment Methods
(a) Payments are processed through Stripe, our third-party payment processor.
(b) You agree to provide valid payment information and authorize us to charge your payment method for all fees incurred.
(c) You are responsible for maintaining valid payment information in your Account.
5.2 Billing Cycles
(a) Monthly Plans: Billed monthly on the same day each month as your initial subscription date.
(b) Yearly Plans: Billed annually on the anniversary of your subscription date.
5.3 Automatic Renewal
(a) All paid memberships automatically renew at the end of each billing period unless cancelled before the renewal date.
(b) Your payment method will be automatically charged at the beginning of each new billing period.
(c) It is your responsibility to cancel your subscription before the renewal date if you do not wish to continue.
5.4 Failed Payments
(a) If a payment fails, we may suspend your access to Premium or Insider Deals until payment is successfully processed.
(b) We may retry failed payments and notify you to update your payment information.
(c) Continued payment failure may result in Account termination.
5.5 Invoices and Receipts
Electronic invoices and receipts will be sent to your registered email address after each successful payment.
6. CANCELLATION AND REFUNDS
6.1 Cancellation Policy
(a) You may cancel your paid membership at any time by logging into your Account and selecting the cancellation option, or by contacting support@stagexero.com.
(b) Upon cancellation, your access to Premium or Insider Deals will continue until the end of your current billing period.
(c) Cancellation does not entitle you to a refund of any fees already paid.
6.2 No Refund Policy
(a) ALL MEMBERSHIP FEES ARE NON-REFUNDABLE.
(b) No refunds will be issued for:
- Partial months or years of service;
- Unused Deals or access;
- Dissatisfaction with Deals or Partners;
- Changes to Deal availability;
- Account suspension or termination due to Terms violations.
(c) Service Fees paid to access specific Deals are also non-refundable.
6.3 Exceptions
(a) In exceptional circumstances and solely at StageXero's discretion, we may issue partial or full refunds on a case-by-case basis.
(b) Refund requests must be submitted to support@stagexero.com with detailed justification.
(c) Final refund decisions rest exclusively with StageXero.
7. DEAL MARKETPLACE AND PARTNER SERVICES
7.1 Nature of Deals
(a) Deals are promotional offers, discounts, credits, affiliate links, coupon codes, or confirmed credit accounts provided by Partners.
(b) StageXero acts solely as an intermediary platform connecting Users with Partner offers.
(c) StageXero is not a party to any transaction between you and Partners.
7.2 Partner Relationships
(a) All Deals are provided by independent third-party Partners.
(b) StageXero's relationship with Partners is limited to affiliate marketing and promotional partnerships.
(c) StageXero does not endorse, guarantee, or warrant any Partner, their products, services, or Deals.
7.3 Deal Redemption
(a) To redeem a Deal, follow the instructions provided on the Platform, which may include using a coupon code, clicking an affiliate link, or contacting the Partner directly.
(b) You are solely responsible for reviewing and complying with Partner terms and conditions applicable to each Deal.
(c) StageXero does not process payments between you and Partners unless explicitly stated for a specific Deal.
7.4 Limited Availability
(a) Deals are subject to limited availability and operate on a first-come, first-served basis.
(b) Deal stock, quotas, and redemption limits are managed by Partners and may change without notice.
(c) StageXero displays an indicative stock count calculated as: (Manual Base Number) + (Tracked Redemptions). This is not a real-time inventory system.
(d) Deals may be withdrawn, expire, or become unavailable at any time.
7.5 Eligibility Requirements
(a) Certain Deals may have specific eligibility criteria set by Partners (e.g., company stage, revenue, location).
(b) You are solely responsible for verifying your eligibility before subscribing to a paid plan or redeeming a Deal.
(c) StageXero may verify eligibility through questionnaires or documentation requests.
(d) No refunds will be issued if you are ineligible for a Deal.
7.6 Partner Conduct and Disputes
(a) StageXero is not liable for:
- Partner refusal to honor Deals;
- Poor quality, defective, or non-conforming Partner products or services;
- Partner failure to deliver, delays, or cancellations;
- Disputes between you and Partners;
- Changes to Partner terms or pricing;
- Partner bankruptcy, cessation of business, or unavailability.
(b) All disputes arising from Deal redemption or Partner services must be resolved directly with the Partner.
(c) StageXero may, at its sole discretion, assist in mediating disputes but assumes no obligation or liability to do so.
7.7 Disclaimer for Deal Pages

STAGEXERO PROVIDES ACCESS TO THIRD-PARTY DEALS ON AN "AS IS" BASIS. WE DO NOT GUARANTEE THE AVAILABILITY, ACCURACY, QUALITY, OR PERFORMANCE OF ANY DEAL OR PARTNER SERVICE. YOUR USE OF DEALS AND ENGAGEMENT WITH PARTNERS IS ENTIRELY AT YOUR OWN RISK. STAGEXERO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. USER CONDUCT AND PROHIBITED ACTIVITIES
8.1 Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms.
8.2 Prohibited Activities
You agree NOT to:
- (a) Violate any applicable law, regulation, or third-party right;
- (b) Share, distribute, sell, or publicly post promo codes, coupon codes, affiliate links, or Deal details outside the Platform;
- (c) Use the Services to engage in fraudulent, deceptive, or misleading activities;
- (d) Create multiple Accounts to abuse Deals or circumvent eligibility restrictions;
- (e) Use automated means (bots, scrapers, crawlers) to access or collect data from the Platform;
- (f) Reverse engineer, decompile, or disassemble any part of the Services;
- (g) Attempt to gain unauthorized access to any portion of the Services or other Users' Accounts;
- (h) Upload or transmit viruses, malware, or other malicious code;
- (i) Harass, threaten, defame, or intimidate other Users or Partners;
- (j) Post Content that is unlawful, harmful, obscene, discriminatory, or infringing;
- (k) Impersonate any person or entity or misrepresent your affiliation;
- (l) Interfere with or disrupt the integrity or performance of the Services;
- (m) Use the Services to compete with StageXero or develop competing products;
- (n) Frame, mirror, or scrape the Platform without authorization.
8.3 Enforcement
StageXero reserves the right to investigate violations and take appropriate action, including suspension or termination of your Account and legal action.
9. USER CONTENT AND LICENSE GRANT
9.1 Ownership
You retain ownership of all intellectual property rights in your User Content. StageXero does not claim ownership of User Content.
9.2 License to StageXero
By submitting User Content, you grant StageXero a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:
(a) Use, reproduce, modify, adapt, publish, translate, and distribute your User Content;
(b) Display your User Content on the Platform and in marketing materials;
(c) Use User Content for internal training, analytics, and AI/ML model development;
(d) Share User Content with Partners (in anonymized or aggregated form where applicable).
9.3 License Duration
This license continues for as long as your User Content is available on the Platform and for a reasonable period thereafter as necessary for backup, archival, and legal compliance purposes.
9.4 Representations and Warranties
You represent and warrant that:
(a) You own or have obtained all necessary rights, licenses, and permissions to submit your User Content;
(b) Your User Content does not infringe any third-party intellectual property, privacy, or other rights;
(c) Your User Content complies with these Terms and applicable laws.
9.5 Prohibited Content
You agree not to submit User Content that:
(a) Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
(b) Infringes any intellectual property or proprietary rights;
(c) Contains viruses or malicious code;
(d) Promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age;
(e) Violates any applicable law or regulation.
9.6 Monitoring and Removal
(a) StageXero reserves the right, but has no obligation, to monitor, review, or moderate User Content.
(b) We may remove or refuse to display User Content that violates these Terms or is otherwise objectionable.
(c) Removal of User Content does not constitute an admission of liability or wrongdoing.
10. INTELLECTUAL PROPERTY RIGHTS
10.1 StageXero Ownership
(a) The Platform, Services, and all Content (excluding User Content) are owned by StageXero and protected by copyright, trademark, patent, and other intellectual property laws.
(b) "StageXero," the StageXero logo, and all related marks are trademarks of Upturn Consultancy LLC.
10.2 Restrictions
You may not:
(a) Copy, modify, reproduce, distribute, or create derivative works from StageXero Content;
(b) Use StageXero trademarks without prior written consent;
(c) Remove or alter any copyright, trademark, or proprietary notices.
10.3 Promo Code and Deal Content Protection
(a) All promo codes, coupon codes, and Deal details are proprietary to StageXero and/or our Partners.
(b) Unauthorized sharing, distribution, or publication of promo codes outside the Platform is strictly prohibited.
(c) Violations may result in:
- Immediate Account termination;
- Legal action to recover damages and lost revenue;
- Claims for compensation from Partners;
- Injunctive relief to prevent further misuse.
10.4 Partner Logos and Trademarks
(a) Partner logos and trademarks displayed on the Platform are the property of respective Partners and are used with permission or under fair use principles.
(b) If you believe your trademark or logo has been used without authorization, contact support@stagexero.com for immediate removal.
11. REVIEWS, VOTING, AND COMMUNITY FEATURES
11.1 Reviews
(a) Users may submit reviews of Deals and Partners.
(b) Reviews must be honest, accurate, and based on personal experience.
(c) Reviews are publicly visible along with your username and profile picture.
11.2 Voting
(a) Users may vote on Deals to indicate interest or usefulness.
(b) Each User may cast one vote per Deal, which can be changed or removed.
(c) Vote counts are publicly displayed.
11.3 Moderation
(a) StageXero reserves the right to moderate, edit, or remove reviews and comments that violate these Terms.
(b) We will respond to moderation complaints within 7 days.
(c) Our moderation process includes human review and may utilize AI-assisted screening.
11.4 Appeals
If your Content is removed, you may appeal by submitting a support ticket at support@stagexero.com. We will review appeals and respond within 7 days.
12. THIRD-PARTY SERVICES AND LINKS
12.1 Third-Party Links
(a) The Platform contains links to Partner websites and third-party services.
(b) StageXero does not control, endorse, or assume responsibility for third-party content, products, or services.
(c) Your interactions with third parties are solely between you and them.
12.2 Embedded Content
(a) We may embed Partner logos, images, and content for promotional purposes.
(b) Such content remains the property of Partners and is used with permission or under license.
12.3 Disclaimer
YOU ACCESS THIRD-PARTY WEBSITES AND SERVICES AT YOUR OWN RISK. STAGEXERO IS NOT LIABLE FOR ANY HARM, LOSS, OR DAMAGE ARISING FROM YOUR USE OF THIRD-PARTY SERVICES.
13. DISCLAIMERS AND WARRANTIES
13.1 "As Is" Provision
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
13.2 Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, STAGEXERO DISCLAIMS ALL WARRANTIES, INCLUDING:
(a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
(b) WARRANTIES REGARDING ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICES;
(c) WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
(d) WARRANTIES REGARDING THE QUALITY, SUITABILITY, OR PERFORMANCE OF ANY DEALS OR PARTNER SERVICES.
13.3 No Guarantee
(a) StageXero does not guarantee that any specific Deal will be available, valid, or suitable for your needs.
(b) We do not guarantee that Partners will honor Deals or provide satisfactory products or services.
13.4 User Responsibility
You are solely responsible for evaluating the suitability of Deals and Partners and for any decisions made based on information provided on the Platform.
14. LIMITATION OF LIABILITY
14.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, STAGEXERO'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF MEMBERSHIP FEES YOU PAID TO STAGEXERO IN THE 12 MONTHS PRECEDING THE CLAIM.
14.2 Exclusion of Damages
IN NO EVENT SHALL STAGEXERO BE LIABLE FOR:
(a) INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES;
(b) LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES;
(c) COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES;
(d) ANY DAMAGES ARISING FROM:
- Partner actions or failures;
- Deal unavailability, expiration, or changes;
- Unauthorized access to your Account;
- Errors, bugs, or interruptions in the Services;
- User Content or third-party content;
- Your reliance on information provided through the Services.
14.3 Zero Liability for Partner Actions
STAGEXERO HAS ZERO LIABILITY FOR ANY ACTS, OMISSIONS, OR CONDUCT OF PARTNERS, INCLUDING FAILURE TO HONOR DEALS, PRODUCT DEFECTS, SERVICE DELAYS, OR DISPUTES.
14.4 Exclusions from Limitation
These limitations do not apply to:
(a) Liability for fraud or gross negligence;
(b) Liability that cannot be excluded under UAE law;
(c) Death or personal injury caused by our negligence.
15. INDEMNIFICATION
15.1 Your Indemnity
You agree to indemnify, defend, and hold harmless StageXero, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
(a) Your use of the Services;
(b) Your violation of these Terms;
(c) Your User Content;
(d) Your violation of any third-party rights, including intellectual property, privacy, or contractual rights;
(e) Your breach of Partner agreements or Deal terms;
(f) Your posting of defamatory, infringing, or unlawful Content;
(g) Any disputes between you and Partners.
15.2 Defense and Settlement
StageXero reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully.
16. DISPUTE RESOLUTION AND ARBITRATION
16.1 Informal Resolution
Before initiating arbitration or legal proceedings, you agree to first contact StageXero at support@stagexero.com to seek an informal resolution. We commit to responding within 7 days and working in good faith to resolve the dispute.
16.2 Binding Arbitration
(a) Any dispute, claim, or controversy arising from or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the UAE Federal Law No. 6 of 2018 on Arbitration.
(b) The arbitration shall be conducted in Dubai, United Arab Emirates, in the English language.
(c) The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties or appointed by the competent UAE court if no agreement is reached.
(d) The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
16.3 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
16.4 Exceptions
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent unauthorized use of the Services.
17. MODIFICATION OF TERMS
17.1 Right to Modify
StageXero reserves the right to modify, amend, or update these Terms at any time in its sole discretion.
17.2 Notice of Changes
(a) Material changes will be notified via:
- Email to your registered address;
- Prominent notice on the Platform;
- In-app notification.
(b) Notice will be provided at least 30 days before changes take effect.
17.3 Continued Use
Your continued use of the Services after the effective date of modified Terms constitutes acceptance of the changes.
17.4 Objection
If you object to modified Terms, your sole remedy is to cancel your Account before the effective date. No refunds will be issued for cancellations due to Terms modifications.
18. ACCOUNT TERMINATION
18.1 Termination by You
You may terminate your Account at any time by contacting support@stagexero.com or using the Account deletion feature in your settings.
18.2 Termination by StageXero
(a) We may suspend or terminate your Account immediately and without notice if:
- You violate these Terms;
- You engage in fraudulent or illegal activities;
- You abuse Deals or Partners;
- You share promo codes or Deal details publicly;
- Your payment fails or chargebacks occur.
(b) We may terminate your Account with 7 days' notice for any reason or no reason.
18.3 Effect of Termination
(a) Upon termination, your access to Premium and Insider Deals will cease immediately.
(b) No refunds will be issued for termination due to Terms violations.
(c) Sections that by their nature should survive termination (including Sections 9, 10, 13, 14, 15, 16, and 19) shall survive.
18.4 Data Deletion
(a) Your Account data will be deleted within 90 days of termination.
(b) Certain data may be retained longer for legal, tax, or compliance purposes (e.g., invoices, dispute records).
(c) User Content you posted publicly (reviews, comments) may remain visible after Account deletion to preserve community continuity.
19. GOVERNING LAW AND JURISDICTION
19.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Sharjah, without regard to conflict of law principles.
19.2 Jurisdiction
Subject to Section 16 (Arbitration), the courts of Dubai, United Arab Emirates shall have exclusive jurisdiction over any disputes arising from these Terms.
19.3 Language
These Terms are executed in English. Any translation is for convenience only, and the English version shall prevail in case of conflict.
20. GENERAL PROVISIONS
20.1 Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and StageXero regarding the Services and supersede all prior agreements.
20.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
20.3 Waiver
No waiver of any provision of these Terms shall constitute a waiver of any other provision or a continuing waiver. Failure to enforce any provision does not constitute a waiver of that provision.
20.4 Assignment
(a) You may not assign or transfer these Terms or your Account without our prior written consent.
(b) StageXero may assign these Terms to any affiliate, successor, or acquirer without your consent.
20.5 Force Majeure
StageXero shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet failures.
20.6 Notices
(a) All notices to StageXero must be sent to:

20.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated.
20.8 Relationship
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and StageXero.
